Legal Associate (Intellectual Property)

For our client, an IT and media company, we are looking for a Legal Associate to work on a range of contractual, technology and IP (soft and hard) issues.

Key functions:

• provide legal advice on technology-related commercial agreements, including multi-jurisdictional transactions, software licensing, distribution and marketing and promotion arrangements.
• provide legal advice on the development, protection, enforcement, acquisition, transfer, licensing, and distribution of technology, software and data, particularly risks, protections and opportunities related to products and innovation.
• advise on, draft and negotiate various strategic intellectual property and technology agreements, with a focus on complex licenses and services agreements (including software license agreements, data rights agreements, cloud services agreements, software/technology development agreements, and software/technology acquisitions.
• counsel on cross-border intellectual property and data rights, software development life cycles, open source software, freedom to operate, intellectual property enforcement, copyright versus patent versus trade secret protection, and market trends related to the foregoing
• support the company's initiatives with respect to technology, software, intellectual property, data lakes, data protection and cybersecurity, open source software and mobile applications.
• work closely and collaboratively with the business teams to develop, protect, acquire and license technology solutions
• work closely with outsourced legal teams on data privacy, IT and data security, technology and software development, IT infrastructure, procurement, project management, and branding and marketing, as well as other intellectual property, technology and commercial lawyers in other jurisdictions.
• advise on legal challenges, risks, complex agreement structures and company policies.
• design and deliver training directly to business teams
• help develop legal ways to protect any new intellectual property assets as they are designed and created.

Key requirements:

• Have a degree in law from an accredited Ukrainian university. Additional training and/or certifications will be an asset.
• Minimum 3 years of experience in the areas of intellectual property and technology law, with a focus on deal structuring, licensing, trademarks registration, copyright law compliance, including Google and FB policies.
• Good knowledge of soft IP (copyright and trademark and brand issues), as well as exposure to hard IP (patents)
• Experience with on-line media will be an asset.
• Ability to structure, draft and negotiate contracts, particularly outsourcing, technology services & licensing.
• Ideally have good data privacy knowledge with exposure to working on cross-border issues.
• Experience with international tax law will be an asset.
• Excellent negotiation and communication skills, combined with strong analytical skills, good business and commercial judgment
