For our client, a large national company, we are looking for an experienced M&ALegal Advisor.
Key responsibilities:
- Strategic M&A and capital raising advisory services
- Acting as lawyer for mergers, acquisitions, minority investments, joint ventures, divestitures, integration, and other strategic initiatives
- Advising on the acquisitions terms and structuring, including international transactions
- Organizing, reviewing and analyzing due diligence processes and materials
- Developing valuation analyses and models (projections, LBO, DCF, public comparables, historical M&A transactions, etc.)
- Drafting SPA and shareholder agreements
- Working with business teams to explore targets, negotiate and execute deals
- Preparing comprehensive pitchbooks, information memoranda, management presentations and marketing materials
- Compiling prospective acquirer lists and contacting acquirers
- Performing key steps in the sale execution process
- Conducting negotiations at all levels
Key requirements:
- Minimum 5 years of M&A advisory and investment banking experience
- Outstanding academic credentials from a top-tier law school
- 5-8 years of legal experience covering mergers and acquisitions, strategic investment and/or private equity with a law firm or investment bank and/or as an in-house legal advisor
- Experience in common law and equity law
- Experience with international transactions will be an asset
- Demonstrated ability to drive execution in a team environment, integrating legal advice and business knowledge while providing balanced advice regarding risks and benefits
- Developed business acumen, with ability to understand the company's business interests and anticipate the nature and magnitude of issues that could arise in various settings
- Excellent written and oral communications skills
- Experienced negotiator
- Significant level of both professional and personal maturity
- Practical and proactive problem-solver; confident, mature, calm under fire, with a positive attitude
- Ability to manage multiple projects, and a high-level of professionalism.
- Strong work ethic for a fast-paced environment
