M&A Legal Advisor

For our client, a large national company, we are looking for an experienced M&ALegal Advisor.

Key responsibilities:

• Strategic M&A and capital raising advisory services
• Acting as lawyer for mergers, acquisitions, minority investments, joint ventures, divestitures, integration, and other strategic initiatives
• Advising on the acquisitions terms and structuring, including international transactions
• Organizing, reviewing and analyzing due diligence processes and materials
• Developing valuation analyses and models (projections, LBO, DCF, public comparables, historical M&A transactions, etc.)
• Drafting SPA and shareholder agreements
• Working with business teams to explore targets, negotiate and execute deals
• Preparing comprehensive pitchbooks, information memoranda, management presentations and marketing materials
• Compiling prospective acquirer lists and contacting acquirers
• Performing key steps in the sale execution process
• Conducting negotiations at all levels

Key requirements:

• Minimum 5 years of M&A advisory and investment banking experience
• Outstanding academic credentials from a top-tier law school
• 5-8 years of legal experience covering mergers and acquisitions, strategic investment and/or private equity with a law firm or investment bank and/or as an in-house legal advisor
• Experience in common law and equity law
• Experience with international transactions will be an asset
• Demonstrated ability to drive execution in a team environment, integrating legal advice and business knowledge while providing balanced advice regarding risks and benefits
• Developed business acumen, with ability to understand the company's business interests and anticipate the nature and magnitude of issues that could arise in various settings
• Excellent written and oral communications skills
• Experienced negotiator
• Significant level of both professional and personal maturity
• Practical and proactive problem-solver; confident, mature, calm under fire, with a positive attitude
• Ability to manage multiple projects, and a high-level of professionalism.
• Strong work ethic for a fast-paced environment
