International lawyer (contractual, compliance, e-commerce matters)

We are looking for a talented and hard-working colleague to join our team in the position of In-house legal counsel on contractual, compliance, e-commerce.

SKILLS & EXPERIENCE:

• Law degree from reputable Ukrainian university, international LL.M degree is a plus;
• Exceptional writing and editing skills in English, Russian and Ukrainian;
• Advanced English is a must;
• 2 + years of professional experience in IT, FinTech, Corporate, Compliance and Contract law;
• Excellent knowledge of international corporate, contract, AML/KYC, e-commerce, data protection and compliance regulations;
• Experience in draft and review of various commercial contracts and soft-related agreements;
• Ability to understand and analyze sophisticated fact patterns and legal concepts; - A desire to be working for a truly challenging landscape and delve into areas of law which may not have previous precedents or lead on examples; - Must be highly motivated, a self-starter and keen to take responsibility and manage swiftly between demanding deadlines:
• - confident PC user (solid technical skills of Microsoft Office Suite);
• - confident user of legal databases (Liga, Lexis Nexis Juris Classeur, Westlaw International, vLex etc.).

KEY RESPONSIBILITIES:

• Advising on commercial contracts & licensing regulations;
• Draft and review of soft-related agreements, including IP rights assignment, distribution and license agreements re trademarks, as well as hi-tech technologies etc.;
• Work with e-commerce agreements, including privacy policies, terms of service and other relevant website documentation;
• Conducting legal analysis on compliance, privacy, e-commerce, data sharing and IT/IP rights;
• Drafting under the supervision data protection documentation, including internal polices and compliance regulations, data processing and data transfer agreements;
• Drafting transactional documentation such as MOUs, Term Sheets, SPA, SHA, employee stock options, corporate partnerships and joint venture founding documentation et al;
• Draft and review of various documents necessary for the companies' day-to-day operations, inter alia, applications, letters, powers of attorney, resolutions etc.;
• Conducting legal due diligence and preparing respective due diligence reports;
• Day-to-day legal support of company's business matters.
