VP of Legal

Requirements:

• Develop and lead corporate legal strategy to promote and protect the company's matters

• Take lead in identifying and addressing potential legal issues and risks for current activities, operations, and strategic initiatives and manages litigation

• Manage contract and regulatory compliance

• Maintain proper corporate interactions with the relevant local, state and federal governmental bodies, legislatures and the community at large

• Develop and maintain corporate policies and procedures within the area of responsibility

• Develop and lead an internal audit and corporate compliance programs

• Advise CEO, COO, and other senior corporate officers on a variety of legal issues

• Draft and negotiate complex agreements. Counsel internal clients on rights, obligations, and restrictions under existing agreements and legal risks related to our strategic relationships

• Review, research, interpret and prepare both written and oral opinions on a wide variety of legal issues.

• Provide research on and coordination of establishing operations in new jurisdictions

• Optimize work of the internal unit and related processes: creation/review and negotiation of contracts and agreements

• Serve as a subject matter expert for other members of the legal team and other functional groups and business units, including advising on related public disclosures

• Conduct periodic review of work quality and costs of external legal service providers

Responsibilities:

• At least 5 years of experience in IP, international, general corporate, commercial, investment law

• Experience in writing and administering complex outsourcing and co-development contracts including advising on the business terms

• Experience in processing of big volume of licensing agreements, advising on potential risks

• Experience with tax structuring for the group of companies in various jurisdictions (including Canada, US, EU countries, UK)

• Experience in external financial audit support, knowledge of IFRS standard

• Knowledge of GDPR, ideally experience in GDPR implementation

• Business acumen with business-oriented legal solutions and the ability to effectively collaborate with the other company leaders to move the business forward

• Proven track record of strong negotiation, communication, organizational, and management skills

• Proven track record in executing complex transactions with foreign companies

• Master Degree in Law
